Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of Kodia (the "Service"), operated by MS2 Partners Sarl (CHE-240.674.424), Route de Lausanne 15, 1180 Rolle, Vaud, Switzerland ("we", "us"). By creating an account or using the Service, you agree to these Terms.
2. Who may use Kodia
Kodia is intended for Swiss medical practices and Swiss billing service providers supporting such practices. You confirm that you are authorized to use the Service on behalf of your organization and in compliance with applicable professional and legal obligations.
3. Language
If translated versions of these Terms are provided, the English version prevails in case of conflict.
4. What Kodia does (and does not do)
Kodia provides coding assistance for Swiss outpatient workflows, including:
- Chat mode: A conversational interface where you can ask questions about TARDOC codes, ambulatory forfaits, ICD-10-GM diagnosis codes, cumulation rules, and billing. By default, conversations are stored only on your device; you may optionally enable server-side chat history sync in Settings.
- Coding suggestions: Suggestions for TARDOC, ambulatory forfaits, and ICD-10-GM diagnosis codes (when applicable), with outputs you can copy or export.
- Shared conversations: You may generate a link to share a chat session. Shared sessions are accessible to anyone with the link. You may revoke a share link at any time.
Kodia is a coding assistance tool and does not provide medical advice. Final coding and billing decisions remain with the practice.
Kodia is not a medical device within the meaning of EU Regulation 2017/745 (MDR) or the Swiss Medical Devices Ordinance (MedDO). It does not diagnose, prevent, monitor, predict, or treat diseases. ICD-10-GM code information is provided solely for billing documentation purposes and does not constitute diagnostic guidance.
5. Your responsibilities
You are responsible for:
- ensuring you have the right to submit any information to Kodia, including compliance with professional secrecy and internal policies;
- reviewing and validating suggestions before billing; and
- maintaining appropriate documentation for your billing and compliance processes.
6. Accounts and practice workspace
Accounts are associated with a practice workspace. You are responsible for keeping credentials secure and for all activities performed under your account.
Team plans: A practice workspace may include multiple users. The practice owner manages membership and assigns roles (owner, admin, or member). All members of a practice share the practice subscription. The practice owner is responsible for billing and for the actions of invited members.
7. Fees, taxes, and payments
- Prices are shown in CHF.
- Where applicable, VAT (MWST/TVA/IVA) will be shown at checkout and on invoices.
- Payments are processed by Stripe. You may receive a receipt or invoice reference for each purchase.
8. Subscriptions and billing
Free trial
- New accounts receive a free trial period (currently 14 days with a limited number of requests).
- No payment method is required during the trial.
- When the trial ends (by time or usage), a paid subscription is required to continue using the Service.
Monthly subscriptions
- Subscriptions are billed monthly in advance via Stripe.
- Paid plans include unlimited usage, subject to fair-use limits (see below).
- You may upgrade, downgrade, or cancel your subscription at any time. Changes take effect at the next billing period.
- Cancellation stops future charges; access continues until the end of the current paid period.
Fair use
Unlimited plans are subject to fair-use limits designed to maintain service quality for all users. We may apply reasonable usage controls (such as rate limits or concurrency limits) to prevent abuse or disproportionate use. We reserve the right to contact you or restrict access if usage significantly exceeds normal professional use patterns.
Prepaid credit packs (where available)
- Certain account types may use a credit-based model where 1 credit = 1 AI request. Credits are deducted only when a result is returned.
- Credit packs are purchased in advance and are non-recurring.
- Prepaid credits expire 12 months after purchase. A new pack purchase extends the expiry of all remaining credits by 12 months.
9. Refunds and chargebacks
- Subscription fees are non-refundable for the current billing period once charged, except where required by applicable law.
- Prepaid credit pack purchases are non-refundable once credits have been granted, except where required by applicable law.
- If a payment is reversed or charged back, we may suspend access and/or deduct credits linked to that payment.
10. Acceptable use
You must not:
- share credentials outside your organization;
- misuse the API (if available), attempt to circumvent rate limits, or disrupt the Service;
- use Kodia for non-Swiss billing systems or unlawful purposes; or
- attempt to reverse engineer, copy, or resell the Service.
11. Intellectual property
We own the Service, software, and related intellectual property. You retain your rights to content you submit. You grant us a limited right to process submitted content solely to provide the Service and to secure and improve it (for example, using aggregated, non-identifying usage statistics).
Third-party catalog data
Kodia integrates medical coding data from third-party sources. The following catalogs remain the intellectual property of their respective owners:

Catalog data displayed through Kodia is provided for reference purposes only in connection with your use of the Service. You may not extract, reproduce, redistribute, or create derivative works from catalog data outside the scope of normal use of the Service.
12. Privacy and consent-based features
Our Privacy Policy describes how we process personal data. By using the Service, you acknowledge that processing is described in the Privacy Policy published on our website.
Optional features requiring consent: Certain features, such as chat history sync across devices, require your explicit opt-in consent before data is stored on our servers. These features are disabled by default. You may enable or disable them at any time in your account Settings. When you revoke consent for such features, associated data is immediately deleted. 13. Suspension, availability, and changes
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted operation.
We may suspend access for security reasons, suspected misuse, legal compliance, or non-payment.
We may update the Service over time (including underlying models/providers). We may change pricing for future purchases and will provide reasonable notice on our website or by email.
14. Termination
You may stop using Kodia at any time. If you cancel a subscription, access continues until the end of the current paid period. For prepaid accounts, remaining credits are not refunded or transferred. You may delete your account at any time, which permanently removes your data (see our Privacy Policy for details).
We may suspend or terminate access if you materially breach these Terms or misuse the Service.
15. Disclaimers
The Service is provided "as is" and "as available". Suggestions may be incomplete or incorrect. You remain responsible for your billing submissions and outcomes.
16. Limitation of liability
To the maximum extent permitted by Swiss law, we are not liable for indirect or consequential damages and we are not responsible for billing outcomes based on your use of suggestions. Nothing in these Terms excludes liability where exclusion is not permitted under Swiss law (for example, intent or gross negligence).
17. Governing law and venue
These Terms are governed by Swiss law. Exclusive venue: courts of the Canton of Vaud, Switzerland.
